These Terms and Conditions, together with any policies, notices, order terms, product pages, invoices, wholesale terms, retailer terms, purchase confirmations, shipping terms, return policies, and other written terms incorporated by reference (collectively, the “Terms”), govern your access to and use of any website, online store, mobile experience, product page, content, materials, services, communications, transactions, purchases, wholesale orders, retail orders, samples, promotional materials, and physical products made available by or on behalf of Clutch Grip Gear LLC, a California limited liability company (“Clutch,” “Clutch Grip Gear,” “Company,” “we,” “us,” or “our”).
By accessing our website, purchasing our products, placing an order, creating an account, communicating with us, participating in a promotion, using any Clutch product, or otherwise interacting with us, you acknowledge that you have read, understood, and agree to be bound by these Terms.
If you do not agree to these Terms, you must not use our website, place an order, purchase our products, resell our products, or use any Clutch product.
Clutch Grip Gear LLC is a California limited liability company that designs, develops, markets, sells, and distributes athletic performance products, including soccer socks, grip socks, calf sleeves, and related athletic gear. Certain Clutch products may incorporate proprietary or patent-pending design features, including technology and product configurations intended to improve comfort, breathability, fit, support, and performance during athletic activity.
Clutch products are designed for athletic apparel and performance-wear purposes only. Clutch does not provide medical services, physical therapy services, diagnostic services, professional training services, sports medicine services, or injury treatment services.
You may use our website and purchase our products only if you are at least the age of majority in your jurisdiction or have the consent and supervision of a parent or legal guardian. By using our website or purchasing our products, you represent that you have the legal capacity and authority to enter into these Terms.
If you purchase products on behalf of a business, retailer, team, club, organization, school, distributor, reseller, or other entity, you represent and warrant that you have authority to bind that entity to these Terms.
We make reasonable efforts to describe our products accurately. Product descriptions may reference features such as comfort, support, compression, decompression, breathability, airflow, grip, stability, reduced tension, ergonomic fit, moisture management, athletic performance, and related benefits.
All product descriptions, marketing claims, performance references, athlete testimonials, photos, videos, social media content, demonstrations, diagrams, comparisons, and other materials are provided for general informational and promotional purposes only. They are not guarantees, promises, warranties, medical representations, or assurances of any particular result.
Individual experiences may vary based on numerous factors, including body type, calf size, athletic level, sport, training intensity, fit, footwear, surface, temperature, duration of use, prior injuries, medical conditions, conditioning level, and manner of use.
Clutch products are not medical devices and are not intended to diagnose, treat, cure, mitigate, or prevent any disease, medical condition, injury, strain, cramp, circulatory issue, vascular issue, neurological issue, musculoskeletal issue, or other health condition.
Any references to injury risk, reduced strain, circulation, muscle tension, calf discomfort, pressure relief, performance, fatigue, support, compression, or decompression are general athletic apparel and performance-wear references only and must not be interpreted as medical claims.
You should consult a physician, physical therapist, athletic trainer, or other qualified healthcare professional before using any athletic apparel or compression-related product if you have any medical condition, prior injury, circulation issue, blood-clotting disorder, diabetes, nerve condition, skin sensitivity, swelling, chronic pain, calf injury, Achilles injury, vascular condition, or any concern about whether the product is appropriate for you.
You must stop using any Clutch product immediately and consult a qualified professional if you experience pain, numbness, tingling, swelling, discoloration, skin irritation, shortness of breath, unusual discomfort, restricted circulation, worsening symptoms, or any adverse reaction.
Athletic activity, including soccer, football, running, basketball, training, competition, and physical exercise, involves inherent risks. These risks include, without limitation, sprains, strains, cramps, muscle injuries, ligament injuries, tendon injuries, falls, collisions, overuse injuries, skin irritation, blisters, circulatory discomfort, and other injuries, including serious injury.
By using Clutch products, you knowingly and voluntarily assume all risks associated with athletic activity and product use. You are solely responsible for determining whether the product is appropriate for your body, sport, activity, training, competition, and physical condition.
Clutch is not responsible for injuries, losses, or damages resulting from athletic participation, improper use, incorrect sizing, overuse, misuse, modification, failure to follow instructions, failure to seek medical advice, use despite discomfort, or reliance on any product as a substitute for professional advice.
Proper fit is essential. Clutch products should feel secure but should not cause pain, numbness, restricted circulation, skin breakdown, or excessive pressure. You are responsible for selecting the correct size and inspecting product fit before use.
Products should be used only as intended. You agree not to cut, tear, alter, sew, reconstruct, stretch beyond intended use, combine with unsafe equipment, or otherwise modify any Clutch product. Any modification, misuse, or unintended use voids any applicable warranty, refund eligibility, replacement eligibility, or product support.
You are responsible for inspecting products before each use. Do not use any product that appears damaged, torn, excessively worn, stretched, defective, contaminated, or unsafe.
You must follow all care instructions provided with the product or on our website. Failure to follow care instructions may reduce product performance, comfort, durability, and lifespan, and may void any eligibility for replacement or refund.
All orders are subject to acceptance by Clutch. We reserve the right to refuse, cancel, limit, or condition any order for any lawful reason, including suspected fraud, payment issues, inventory limitations, pricing errors, shipping restrictions, reseller concerns, unauthorized distribution, violation of these Terms, or operational constraints.
Your receipt of an order confirmation does not constitute final acceptance of the order. We may cancel or modify an order before shipment if necessary.
Product availability, pricing, colors, sizing, packaging, lead times, specifications, and designs are subject to change without notice.
Prices are stated in U.S. dollars unless otherwise indicated. Prices do not include taxes, duties, customs fees, shipping, handling, insurance, or other charges unless expressly stated.
You are responsible for all applicable taxes, duties, tariffs, import charges, customs fees, and other governmental charges associated with your purchase.
By providing payment information, you represent and warrant that you are authorized to use the payment method provided and authorize us and our payment processors to charge the applicable amount.
We reserve the right to verify orders, request additional information, reject transactions, and cooperate with payment processors, law enforcement, and fraud-prevention services.
You agree not to initiate improper, fraudulent, or bad-faith chargebacks. If you initiate a chargeback after receiving products or services, we reserve the right to dispute the chargeback and provide transaction records, correspondence, delivery confirmation, IP logs, order details, and other supporting information to the payment processor.
Shipping dates, delivery estimates, and lead times are estimates only and are not guaranteed unless expressly stated in writing. Clutch is not liable for carrier delays, weather delays, customs delays, supply-chain delays, incorrect addresses, failed delivery attempts, theft after delivery, or events outside our reasonable control.
Risk of loss passes to you when the product is tendered to the carrier, unless otherwise required by applicable law. Title passes upon payment and shipment, subject to any special written terms for wholesale or distributor orders.
You are responsible for providing accurate shipping information. We are not responsible for delays, losses, or additional charges caused by inaccurate, incomplete, or outdated shipping details.
Returns and refunds are governed by the Clutch Refund and Return Policy incorporated into these Terms. Due to the hygienic nature of socks, compression sleeves, and athletic apparel, all sales are final except as expressly provided in our Refund and Return Policy or required by applicable law.
If you purchase products as a retailer, team, club, school, organization, distributor, reseller, wholesale buyer, or commercial purchaser, the following additional terms apply unless superseded by a separate written agreement signed by Clutch:
Wholesale orders are binding once accepted by Clutch.
Deposits, production payments, custom orders, and bulk orders are non-refundable unless expressly stated in writing.
Minimum order quantities, wholesale pricing, suggested retail pricing, margins, production timelines, and delivery estimates are subject to change.
Lead times are estimates and may be affected by production schedules, raw materials, customs, logistics, carrier delays, labor issues, force majeure events, or third-party vendors.
You are solely responsible for resale compliance, consumer disclosures, tax obligations, local regulations, and customer-facing representations.
You may not make medical, injury-prevention, therapeutic, guaranteed-performance, or unauthorized technical claims regarding Clutch products.
You may not alter, repackage, relabel, reverse engineer, copy, or manufacture derivative products without our prior written consent.
You may not sell through unauthorized marketplaces, discount channels, gray-market channels, counterfeit channels, or territories restricted by Clutch.
Clutch may revoke reseller, wholesale, or distributor status at any time for brand-protection, legal, operational, reputational, or commercial reasons.
Custom-branded products, team orders, club orders, private-label configurations, logo applications, special production runs, samples, prototypes, and other customized products are non-cancellable and non-refundable once production, sourcing, design preparation, sampling, customization, or procurement has begun.
You represent that you own or have permission to use any logo, name, trademark, crest, image, design, slogan, or other material submitted to us for customization. You agree to indemnify Clutch against any claim arising from the use of materials you provide.
Clutch may provide product photos, videos, social media materials, descriptions, graphics, logos, campaign materials, and other marketing assets. Unless otherwise stated in writing, we grant approved retailers and partners a limited, revocable, non-exclusive, non-transferable license to use approved Clutch materials solely to promote authorized Clutch products.
You may not modify our materials, remove legal notices, misrepresent product claims, imply unauthorized endorsements, or use our brand in a misleading, disparaging, unlawful, or reputationally harmful manner.
Any athlete, creator, influencer, team, trainer, customer, or partner content displayed by Clutch is for marketing and informational purposes only. Such content does not constitute medical advice, a guarantee of performance, a guarantee of injury prevention, or an endorsement of suitability for every user.
Unless expressly agreed in writing, use of Clutch products by an athlete, team, creator, trainer, or other individual does not imply sponsorship, affiliation, medical validation, performance certification, or guaranteed results.
All intellectual property rights in and to the Clutch brand, website, products, designs, logos, graphics, photos, videos, copy, content, packaging, product names, technology, trade dress, layouts, specifications, diagrams, marketing materials, and related materials are owned by Clutch or its licensors.
This includes, without limitation, rights relating to Flex Flow technology, product configurations, design features, grip patterns, sleeve constructions, sock designs, brand names, trademarks, copyrights, trade secrets, know-how, and patent rights, whether registered or unregistered.
No rights are granted to you except as expressly stated in these Terms. You may not copy, reproduce, modify, distribute, sell, resell, license, sublicense, create derivative works from, publicly display, commercially exploit, reverse engineer, deconstruct, analyze for competitive purposes, manufacture, source, or assist others in copying any Clutch product, design, technology, content, or intellectual property.
Certain Clutch product features may be the subject of pending patent applications and other intellectual property protection. You acknowledge that Clutch has invested substantial resources into product development, design, testing, sourcing, branding, and commercialization.
You may not purchase, inspect, photograph, sample, test, disassemble, or analyze Clutch products for the purpose of copying, reverse engineering, designing around, manufacturing, importing, selling, distributing, or assisting in the creation of competing products.
Any unauthorized copying, imitation, manufacturing, importation, distribution, or sale of substantially similar products may result in legal action, including claims for injunctive relief, damages, disgorgement of profits, attorneys’ fees, and all other available remedies.
If you submit feedback, suggestions, product ideas, design ideas, comments, reviews, photos, videos, testimonials, or other materials to Clutch, you grant Clutch a worldwide, perpetual, irrevocable, royalty-free, fully paid, sublicensable, transferable license to use, reproduce, modify, display, distribute, publish, and exploit such materials for business, marketing, product development, and promotional purposes, subject to applicable privacy laws.
You represent that your submissions are truthful, lawful, original or properly authorized, and do not infringe any third-party rights.
You agree not to submit false, misleading, defamatory, unlawful, infringing, harassing, or malicious reviews or public statements about Clutch, our products, our team, our partners, or our retailers. Nothing in these Terms limits lawful consumer reviews or legally protected speech.

Our website may contain links to third-party websites, payment processors, shipping platforms, social media platforms, marketplaces, analytics tools, email platforms, or other third-party services. We do not control and are not responsible for third-party content, policies, security, practices, products, or services.

To the maximum extent permitted by law, all products, services, websites, content, and materials are provided “as is” and “as available,” without warranties of any kind, whether express, implied, statutory, or otherwise.
Clutch disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, title, accuracy, uninterrupted operation, availability, and any warranties arising from course of dealing, course of performance, or trade usage.
We do not warrant that products will meet your expectations, improve performance, prevent injury, reduce pain, eliminate discomfort, fit every user, withstand all forms of use, or produce any specific athletic, medical, commercial, or financial outcome.
Some jurisdictions do not allow the exclusion of certain warranties, so some limitations may not apply to you.
To the maximum extent permitted by law, Clutch and its members, managers, officers, employees, contractors, agents, suppliers, manufacturers, vendors, affiliates, licensors, distributors, retailers, partners, successors, and assigns shall not be liable for any indirect, incidental, consequential, special, exemplary, punitive, enhanced, or similar damages, including loss of profits, lost revenue, loss of goodwill, loss of business opportunity, data loss, reputational harm, personal injury, athletic injury, medical costs, replacement costs, retail losses, or commercial losses, whether arising in contract, tort, negligence, strict liability, warranty, statute, or otherwise.
To the maximum extent permitted by law, Clutch’s total cumulative liability for any claim arising out of or relating to these Terms, the website, an order, a product, a wholesale transaction, or any related matter shall not exceed the amount actually paid to Clutch for the specific product giving rise to the claim.
You agree to defend, indemnify, and hold harmless Clutch and its members, managers, officers, employees, contractors, agents, suppliers, manufacturers, vendors, affiliates, licensors, distributors, retailers, partners, successors, and assigns from and against any claims, demands, actions, losses, liabilities, damages, penalties, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to:
Your use or misuse of Clutch products.

Any claim by your customers, athletes, players, team members, users, or third parties.
Clutch is not liable for delay or failure to perform caused by events outside our reasonable control, including acts of God, natural disasters, fires, floods, earthquakes, pandemics, epidemics, labor disputes, strikes, supply shortages, raw-material shortages, manufacturing delays, shipping disruptions, port delays, customs delays, war, terrorism, civil unrest, government action, regulatory changes, power outages, cyberattacks, platform failures, carrier delays, or vendor failures.
We may suspend or terminate access to our website, cancel orders, revoke wholesale access, revoke reseller status, reject future purchases, or refuse service if we believe you have violated these Terms, engaged in fraud, harmed our brand, infringed our intellectual property, misused our products, or created legal, operational, reputational, or commercial risk.
These Terms are governed by and construed in accordance with the laws of the State of California, without regard to conflict-of-law principles.
Any dispute, claim, or controversy arising out of or relating to these Terms, the website, any product, any purchase, any wholesale order, any refund, any product use, or any relationship with Clutch shall be resolved by binding arbitration in Los Angeles County, California, unless prohibited by law.
The arbitration shall be administered by a recognized arbitration provider under its applicable rules. The arbitrator shall have authority to award any relief available in court on an individual basis, subject to the limitations in these Terms.
You and Clutch agree that disputes will be resolved only on an individual basis. You waive any right to participate in a class action, collective action, representative action, private attorney general action, or consolidated proceeding.
Nothing in this section prevents Clutch from seeking injunctive or equitable relief in court for intellectual property infringement, misuse of confidential information, unauthorized distribution, counterfeiting, unfair competition, or brand misuse.
California residents may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Boulevard, Suite N 112, Sacramento, CA 95834 or by telephone at (800) 952-5210.
If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable.
Our failure to enforce any provision is not a waiver of our right to enforce that provision later.
You may not assign or transfer these Terms without our prior written consent. Clutch may assign or transfer these Terms, in whole or in part, in connection with a merger, acquisition, reorganization, financing, sale of assets, change of control, or by operation of law.
These Terms, together with all policies and documents incorporated by reference, constitute the entire agreement between you and Clutch regarding the subject matter and supersede all prior or contemporaneous understandings.
